By accessing or using the Services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you may not access or use the Services.
To use the Services, you must create an account with Tapped. You must provide accurate, current, and complete information about yourself and your business or services when creating your account. You are solely responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify Tapped of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.
You acknowledge and agree that Tapped is not responsible for the actions of any users of the Services, and that you use the Services at your own risk. Tapped reserves the right to remove any content or user that violates this Agreement or any applicable law.
Tapped may use your content and information to improve the Services, and may share your content and information with third-party partners for marketing and promotional purposes.
You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services), or use the Services to transmit any harmful or malicious code, viruses, or other harmful components.
You agree not to use the Services to post, upload, or otherwise transmit any content that is harmful, fraudulent, deceptive, offensive, illegal, obscene, defamatory, or pornographic. You agree to comply with all applicable laws, regulations, and industry standards.
Tapped reserves the right to terminate your access to the Services at any time for any reason. You may also terminate this Agreement at any time by deleting your account and ceasing to use the Services.
Tapped retains all rights, title, and interest in and to the Services and all related intellectual property, including any modifications, improvements, and updates.
THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TAPPED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
IN NO EVENT SHALL TAPPED BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES OR THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement or the Services shall be resolved by arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Tapped reserves the right to modify this Agreement at any time by posting an updated version on the Services. Your continued use of the Services after any such modification constitutes your acceptance of the updated Agreement.
This Agreement constitutes the entire agreement between you and Tapped with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and Tapped with respect to the subject matter hereof.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
You may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of Tapped. Tapped may assign or transfer this Agreement, in whole or in part, without restriction.
